Program Overview

Our program allows the private company to become publicly listed on the Pinksheets and, consequently, have a greater resource to financing and capital otherwise unavailable. Upon commencement of trading and the development of liquidity and volume in your publicly traded stock, we will work with auditors and financial consultants who we have strategic alliances with, to uplist your company to fully reporting status (highly desired by many brokers and potential investors) to either the Nasdaq Bulletin Board, Amex, Nasdaq or NYSE. Any of those stock exchanges may be applicable to your company, and each exchange sets certain minimum requirements to have trading on their exchange in terms of revenues, assets and shareholder base.

To achieve this liquidity, increase in volume, and, hopefully, increased price per share, the client will retain Big Apple Consulting USA, Inc. to disseminate information about your newly trading public company to the right people in the financial community and the right people in complementary industries around the world. This increased liquidity will allow MJMM to further participate in your private placement and purchase stock directly from the company by subscription agreements, thereby allowing the company to receive the operating capital it needs. Throughout the course of the campaign and program, it is MJMM’s and the client’s goal to work together to raise money through the public markets.

There are no guarantees; and, in a public market where there are very few guarantees, we can assure you that we will not make a promise that we cannot keep. Our program requires cooperation and hardwork from all involved. It is not easy to raise $5,000,000 and anyone who tells you it is probably is not being truthful. However, it can be done, and with the right team we can do it together.

Recent Success:
February, 2005: Purchase of Fifty (50%) percent interest in Ace Comics, Inc., a privately held corporation which manages and operates a retail location at 8110 South Orange Blossom Trail, in Orlando, Florida. Ace Comics, Inc. sells various comics, cards and other collectible items, including but not limited to figurines, busts, statues, vintage baseball card collections, action play sets and novelty items.

Investment News:

Fortis Posts Lower Fourth-Quarter Profit (AP):   AP - Belgian-Dutch banking and insurance group Fortis NV on Thursday reported a fall in fourth-quarter earnings after its investments didn't perform as well as last year.

Treasuries Lower Before Inflation Specter (Reuters):   Reuters - U.S. Treasuries fell on Friday, in part as a widening U.S. trade deficit hit the dollar and threatened to scare foreign investors while increasing inflationary pressure at home.

Concern Over Inflation Could Intensify (AP):   AP - The stock market's obsession with inflation could intensify in the week ahead as Wall Street's major brokerage houses start reporting their first-quarter earnings.
